1. Agreement to Terms
By engaging StonewellCo's services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not proceed with our engagement.
2. Services
We provide strategic consulting services including global market entry, business transformation, and operational execution. All services are provided on a project basis with agreed scope, timeline, and commercial terms outlined in individual engagement letters.
3. Engagement Terms
Each engagement is governed by a specific agreement outlining scope, deliverables, timeline, and commercial terms. We maintain flexibility to adjust scope based on evolving strategic needs, with mutual agreement required for significant changes.
4. Confidentiality
We maintain strict confidentiality regarding all client engagements, proprietary information, and strategic initiatives. This confidentiality extends indefinitely beyond the term of our engagement.
5. Intellectual Property
Deliverables created specifically for your engagement become your property upon completion and payment. Our methodologies, frameworks, and pre-existing intellectual property remain our property.
6. Liability and Indemnification
While we provide strategic counsel based on our expertise and experience, final business decisions remain with you. Our liability is limited to the fees paid for the specific engagement in question.
7. Termination
Either party may terminate an engagement with written notice as outlined in the specific engagement agreement. Upon termination, fees for work completed to date are due, and we will provide deliverables completed up to the termination date.
8. Governing Law
These terms and all engagements are governed by the laws of the jurisdiction specified in the individual engagement letter. Disputes will be resolved through good-faith negotiation or, if necessary, binding arbitration.
9. Changes to Terms
We may update these Terms periodically. Significant changes will be communicated to active clients. Updated terms apply to new engagements; existing engagements remain governed by the terms in effect at their commencement.
